Dinaxagroup is not responsible for:
- Platform outages
- Account suspensions
- Policy changes
- Algorithm updates
- Third-party fee increases
Use of such platforms is subject to their own terms and policies.
6. Intellectual Property
6.1 Client Materials
All trademarks, branding, content, and materials provided by the client remain the client's property.
6.2 Agency Materials
All strategies, methodologies, frameworks, templates, and internal systems developed by Dinaxagroup remain the property of Dinaxagroup.
6.3 Marketing Assets
Ownership of creatives, ad copies, and campaign materials shall be governed by the applicable service agreement.
7. Payments & Fees
Payment terms are defined in individual agreements.
Unless otherwise stated:
- Invoices are payable within 30 days
- Late payments may result in suspension of services
- Advertising budgets are separate from service fees
Dinaxagroup reserves the right to pause campaigns in case of overdue payments.
8. Confidentiality
Both parties agree to maintain confidentiality of non-public business information shared during collaboration.
Confidential information shall not be disclosed without written consent unless required by law.
9. Limitation of Liability
To the maximum extent permitted by law:
Dinaxagroup shall not be liable for:
- Indirect or consequential damages
- Lost profits or revenue
- Losses caused by platform suspensions or policy changes
Total liability shall not exceed the amount paid for services during the preceding 2 months.
10. Termination
Either party may terminate services in accordance with the signed agreement.
Upon termination:
- Outstanding payments remain due
- Campaigns may be paused or closed
- Access to advertising accounts may be revoked
11. No Partnership or Employment Relationship
Engagement with Dinaxagroup does not create:
- A partnership
- A joint venture
- An employment relationship
12. Governing Law
Any disputes shall be resolved in the appropriate courts of that jurisdiction unless otherwise agreed in writing.
13. Changes to Terms
Dinaxagroup reserves the right to update these Terms at any time. Changes become effective upon publication on the website.
